– Lizenzgeber kann neben Lizenznehmer bestimmte Nutzungsrechte ausüben (= reduzierte Abhängigkeit).

– Lizenznehmer bekommt aufgrund der Nutzung des Lizenzvertrages auch Verbesserungen/Weiterentwicklungen (soweit vertraglich vereinbart) eher, da auch Lizenzgeber Praxiserfahrung und Technologie sammelt; geringe Lizenzgebühren.

Nachteile:

– Lizenzgeber bekommt geringere Lizenzgebühren.

– Lizenznehmer hat Konkurrenz.

Möglichkeit 3

Mehrere ausschließliche und/oder alleinige Lizenzen mit verschiedenen sachlichen Anwendungsgebieten und/oder örtlichen Vertragsgebieten.

Vorteile:

– Lizenzgeber verteilt Risiko und erhält höhere Lizenzgebühren.

– jeder Lizenznehmer hat trotz Trennung nach sachlichen und/oder örtlichen Vertragsgebieten exklusive Marktpositionen.

Nachteile:

– Lizenzgeber muss mehrere Lizenznehmer kontrollieren.

– Lizenznehmer hat begrenzte ausschließliche Nutzung.

Möglichkeit 4

Beliebig viele nichtausschließliche Lizenzen mit/ohne Einschränkungen bezüglich sachlichem Anwendungsgebiet und/oder örtlichem Vertragsgebiet.

Vorteile:

– Lizenzgeber hat sehr breite Risikostreuung und höhere Lizenzeinnahmen.

– Lizenznehmer hat Nutzungsmöglichkeit und bezahlt moderate Lizenzgebühren.

Nachteile:

– Lizenzgeber muss mehrere Lizenznehmer kontrollieren.

– Lizenznehmer hat große Konkurrenz.

Grant

X grants and agrees to grant to Y and its Affiliates for as long as they remain Affiliates a personal, perpetual, nontransferable, nonrevocable, royalty free, nonexclusive, worldwide, paid up right and license, without the right to sublicense, under X know-how and X Patents, to use and modify X know-how to make, have made only in connection with its business, use, lease, sell offer for sale, import, design, have designed, assemble, have assembled, test, or otherwise dispose of any XXX product.

Y grants and agrees to grant to X a personal, perpetual, nontransferable, nonrevocable, royalty free, nonexclusive, worldwide, paid up right and license, without the right to sublicense, under Y Know-how and Y Patents, to use and modify Y know-how to make, have made only in connection with its business, use, lease, sell offer for sale, import, design, have designed, assemble, have assembled, test, or otherwise dispose of any XXX product.

Grant

As noted in the preamble hereof, the parties and their related companies intend to grant licenses to one or more third parties, for commercial XXX services, under „Background“ technology applicable to the EU 123 Standard. Accordingly the parties also wish to extend to each other and their related companies the rights set forth below:

To the extent the parties and their related companies are freely able to do so and have not otherwise already done so, and subject to the other terms, conditions, and limitations of this Cooperation Agreement, as amended hereby, the parties, on behalf of themselves and their related companies, to the extent they are AAA, hereby grant to each other and to their respective related companies nonexclusive, worldwide licenses, without right to sublicense, in and for the Intellectual Property which is „Background“ in the sense of having been developed other than during and pursuant to the Cooperation Agreement, as amended hereby. Such licenses shall be granted (a) royalty-free, but limited to the extent required for the further research and cooperation under the Cooperation Agreement, as amended hereby (and under any further research and cooperation contracts with third party licensees implementing the foregoing), and (b) under fair and reasonable conditions to licensees and their related companies who are AAA, for the field of commercial BB use under the EU 123 Standard, during, under, and subsequent to this Cooperation Agreement, as amended hereby.

The parties confirm their willingness also to offer each other and their related companies, under fair and reasonable conditions, licenses, without the right to sublicense, under their Intellectual Property which is „Background“, as defined above, for other commercial purposes in support of the EU 123 Standard, and for the period of and subsequent to this Cooperation Agreement, as amended hereby.

Beispiel 3

Grant

1. X waives all claims which it may have against Y for the manufacture by or for Y, and for the use or sale by Yand/or their vendees of the Products protected by the X Patents prior to the Effective Date.

2. X hereby grants Y as of the Effective Date a non-exclusive and non-transferable, non-assignable, irrevocable, perpetual license, under the X Patents to exploit Products, in the Licensed Territory.

2.1 Y is granted the right to sublicense the license granted under this Article to Y’s Affiliates under the following terms and conditions:

2.1.1 Each Affiliate of Y sublicensed by Y hereunder shall be bound by the terms and conditions of Articles ..... of this Agreement to the same extent as if such Y Affiliate were named as a Party to this Agreement hereunder.

2.1.2 Y shall remain directly liable under this Agreement to X for the performance of each of the obligations of the Y Affiliate under Article .....

2.1.3 The existence of each sublicense is dependent on the existence of this Agreement.

3. Y waives all claims which it may have against X for the exploitation by X and/or their vendees of the Products protected by Y Patents prior to the Effective Date.

4. Y hereby grants X as of the Effective Date a non-exclusive and non-transferable, non-assignable, irrevocable, perpetual, license, under Y Patents to exploit Products in the Licensed Territory.

4.4.1 X is granted the right to sublicense the license granted under this Article 4. to X Affiliates under the following terms and conditions:

4.4.1.1 Each Affiliate of X, sublicensed by X hereunder shall be bound by the terms and conditions of Articles ..... of this Agreement to the same extent as if such Affiliate were named as a Party to this Agreement hereunder:

4.4.1.2 X shall remain directly liable under this Agreement to Y for the performance of each of the obligations of the X Affiliate under Articles .....
